Share purchase agreements can be complex in nature and can vary in complexity from one case to another. Warranties and indemnities are generally required from the seller of the shares in order to protect the buyer. Often a due diligence is required of the assets of the company. Specific liabilities may remain with the seller and therefore it is important that good legal advice is sought in relation to these agreements.

It is possible to effect a share purchase on the basis of a much simpler form of agreement, and indeed in many instances the formal agreement may be dispensed with in its entirety, particularly in the purchase of a small shareholding where the most basic form of a share purchase agreement, a share transfer from, is all that is completed.
